Agreement
Using ZOQENA.
These Terms of Service govern access to and use of ZOQENA, including its websites, vendor compliance software, free tools, Vendor Passport, and related services.
If you use ZOQENA on behalf of an organization, you are responsible for having the authority necessary to use the service and provide information on that organization's behalf.
What ZOQENA provides
ZOQENA provides software and workflow tools for organizing vendor and contractor requirements, Certificates of Insurance, credentials, expiration dates, coverage gaps, corrections, manager review, re-evaluation, audit history, and related compliance information.
Organizations define the requirements that apply to their vendors, projects, properties, or other relationships. ZOQENA can process available information and compare it with those configured requirements.
Compliance evaluations and statuses
ZOQENA may display results such as Meets Requirements, Coverage Gap, Expired, Missing, or Needs Review based on the configured requirement and the information available to the system.
These results are operational workflow outputs. They do not independently establish legal, regulatory, contractual, licensing, or insurance compliance.
Document processing and extracted information
ZOQENA may extract relevant information from documents provided through the service and convert that information into structured credential data for evaluation and workflow purposes.
Automated extraction can be incomplete, ambiguous, or incorrect. Information that cannot be confidently determined may require human review. Users remain responsible for reviewing information when appropriate for their workflow.
Corrections, review, and re-evaluation
When an item needs attention, an organization may request updated information or documentation from a vendor. Receiving a response or updated document does not automatically change the vendor's compliance result.
Updated information may be reviewed and re-evaluated against the applicable requirement before a status changes. Closing a correction workflow also does not, by itself, mean that the underlying requirement has been met.
ZOQENA does not provide or guarantee insurance coverage.
ZOQENA is not an insurance company, carrier, broker, or insurance provider. It does not issue, bind, underwrite, modify, or guarantee insurance coverage.
Certificate of Insurance information is not the underlying insurance policy. Actual coverage, rights, exclusions, endorsements, and other terms are governed by the applicable insurance policy and related documents.
No legal or professional advice
ZOQENA provides software and operational information. It does not provide legal, insurance, tax, accounting, licensing, or regulatory advice.
Users should obtain appropriate professional advice when decisions require interpretation of contracts, insurance policies, laws, regulations, licensing rules, or other professional matters.
Your responsibilities
You are responsible for the information, requirements, documents, and instructions you provide through the service and for determining whether they are appropriate for your organization, vendor relationship, project, or other use.
You are also responsible for complying with laws, contracts, policies, and other obligations that apply to your activities outside the software.
Accounts and authorized access
You are responsible for maintaining the confidentiality of account credentials and for activity performed through accounts under your control.
You may not attempt to access another user's, vendor's, or organization's private information without authorization or bypass controls intended to restrict access.
Acceptable use
You may not use ZOQENA to interfere with the service, attempt unauthorized access, introduce malicious code, abuse APIs or automated interfaces, impersonate another person or organization, or use the service for unlawful activity.
You may upload or submit only information and documents that you are authorized to provide and process through the service.
Your documents and information
You retain whatever ownership rights you have in documents, business information, and other content that you provide to ZOQENA.
You authorize ZOQENA to host, process, analyze, transmit, and otherwise use that information as reasonably necessary to provide, secure, maintain, and support the service and the workflows you request.
Information is also subject to the practices described in the Privacy Policy.
Public Passport information
Vendor Passport may include information intended for public display. Users are responsible for the accuracy and appropriateness of information they choose to make publicly available through an enabled public-facing profile.
ZOQENA is designed to keep sensitive document and credential information out of public Passport views. Additional information about those controls is available on the Security page.
APIs, webhooks, and connected systems
If you use API keys, webhooks, or other connected functionality, you are responsible for securing credentials and receiving systems under your control and for using those features only within the permissions granted to your account or organization.
Service availability and changes
ZOQENA may update, improve, add, remove, or modify features as the service develops. Some functionality may occasionally be unavailable because of maintenance, technical issues, service providers, security events, or other operational circumstances.
Suspension or termination
Access may be restricted or suspended when reasonably necessary to address security risks, unauthorized use, abuse of the service, violation of these Terms, or legal obligations.
ZOQENA intellectual property
ZOQENA's software, interfaces, design, branding, documentation, and other proprietary materials are protected by applicable intellectual-property rights. These Terms do not transfer ownership of those materials to users.
Service disclaimer
To the extent permitted by applicable law, ZOQENA is provided on an “as available” basis unless a separate written agreement expressly states otherwise.
ZOQENA does not guarantee that software output, extracted information, compliance statuses, or vendor records will be error-free, complete, or accepted by a client, insurer, regulator, licensing authority, auditor, or other third party.
Changes to these Terms
These Terms may be updated as ZOQENA and its services evolve. The “Last updated” date above identifies the version currently published. Where additional notice or consent is required by applicable law or an agreement with you, ZOQENA will handle the change accordingly.
